Buyer’s Vault Terms and Conditions

Effective Date: September 19, 2026


These Terms and Conditions apply to all purchases made through Buyer’s Vault. By becoming a member, placing an order, or submitting a deposit or partial payment, you acknowledge and agree to the following
terms.


Purchase and Payment Responsibility

All orders placed through Buyer’s Vault are binding purchase commitments.
All orders, whether paid in full or placed using the 20% down-payment option, are non-refundable.
Members who use the 20% down-payment option remain responsible for the remaining balance and all
applicable shipping charges.


20 Percent Down Payment Option

Members may pay an order in full or use the 20% down-payment option when it is available. By selecting this payment option, you:

  • Agree to pay the entire remaining balance associated with the order.
  • Understand that the order is not paid in full until the remaining balance and applicable shipping charges have been successfully collected.
  • Authorize Buyer’s Vault and its payment-processing providers to charge the payment method associated with the order when the remaining balance becomes due.
  • Agree to maintain a valid payment method with sufficient available funds until the order has been paid in full.

The remaining balance will generally become due when the merchandise is ready for fulfillment or shipment.


Shipping Charges

Shipping charges will be calculated based on the final weight of the packaged order.
Buyer’s Vault will not add any additional fee or markup to the shipping cost. Members are responsible for paying the actual shipping charge after the order has been packaged and weighed and before it is released for shipment.


Failed or Declined Payments

If a payment is declined, fails, or cannot be processed, Buyer’s Vault may:

  •  Place the order and shipment on hold.
  • Contact the member to obtain an updated payment method.
  • Suspend the member’s purchasing privileges or membership account.
  • Cancel access to future purchasing opportunities.
  • Pursue the unpaid balance and any legally permitted collection costs.

Orders will not be shipped until the remaining balance and all applicable charges have been paid in full.


Cancellations

All orders are final and cannot be canceled once placed.
Because Buyer’s Vault relies on member orders when committing to production quantities and purchasing merchandise from manufacturers, members remain responsible for the full order amount. Members using the 20% down-payment option remain responsible for the remaining balance and all applicable shipping charges.


Membership Renewal Cancellation and Suspension

To avoid a membership renewal, a member must cancel or suspend the membership before the scheduled renewal date. A cancellation or suspension request submitted on or after the renewal date will not reverse that renewal or create a refund for the renewed membership cycle. 

Membership fees are non-refundable, including when a member does not purchase inventory during a membership cycle.

Canceling or suspending a membership does not cancel inventory orders placed before the cancellation or suspension takes effect and does not release the member from any payment obligation connected with those orders.

A member who cancels or suspends the membership remains responsible for the full remaining balance of every inventory order placed before the effective date of the cancellation or suspension. Buyer’s Vault will notify the member when the items are ready to ship and will collect the remaining balance, including all applicable shipping expenses, before the order is released for shipment.


Payment Disputes and Chargebacks

Members agree to contact Buyer’s Vault regarding any billing concern before initiating a chargeback orpayment dispute. A chargeback or payment dispute does not automatically cancel an order or remove the member’s responsibility for a valid unpaid balance. Buyer’s Vault reserves the right to provide order records, payment authorizations, communications, and these Terms and Conditions to the applicable bank or payment processor when responding to a dispute.


Business Purchases

Buyer’s Vault is a business-to-business purchasing platform.
By placing an order, you confirm that you are purchasing merchandise for legitimate business or resale purposes and that you have the authority to enter into this agreement on behalf of your business.


Product Availability

All orders are subject to acceptance, product availability, manufacturer approval, and production requirements. If Buyer’s Vault or the manufacturer is unable to fulfill an order, Buyer’s Vault will communicate the available options. These options may include transferring the amount paid to another available style, issuing merchandise credit, or providing a refund when applicable.


Governing Law

These Terms and Conditions and all purchases made through Buyer’s Vault will be governed by the laws of the State of South Dakota. Any legal action arising from these Terms and Conditions or a Buyer’s Vault purchase must be brought in a court of competent jurisdiction located in Minnehaha County, South Dakota, unless otherwise required by applicable law.


Acceptance of Terms

By creating a membership account, accepting these terms at checkout, placing an order, or submitting a deposit or partial payment, you confirm that you:

  • Have read and understood these Terms and Conditions.
  • Agree that your order constitutes a binding purchase commitment.
  • Accept responsibility for paying the remaining balance and applicable charges.
  • Authorize the collection of the remaining balance according to these terms.
  • Understand that all orders, whether paid in full or placed using the 20% down-payment option, are non-refundable and that membership fees are non-refundable as stated in these terms.
  • Agree to cancel or suspend the membership before the renewal date and remain responsible for all
    inventory orders placed before the cancellation or suspension takes effect.
